1. Introduction

Welcome to The Well-Nest Collective Co. These Terms of Service ("Terms") govern your access to and use of our coaching, facilitation, consulting, and speaking services. By engaging our services or accessing our materials, you agree to be bound by these Terms.

The Well-Nest Collective Co is owned and operated by Aimee Presnall as a sole proprietor, operating under ABN 58 828 356 586.

These Terms are subject to our Privacy Policy, which explains how we collect, use, and protect your personal data.

2. Scope of Services

We provide:

  • 1:1 Coaching for school leaders and educators
  • Group Coaching and Professional Learning Programs
  • Workshop Facilitation
  • Keynote Speaking

These services are not therapeutic, diagnostic, or medical in nature.

3. Coaching Disclaimer

Coaching is a collaborative, non-clinical process. While we focus on wellbeing and leadership development, our services are not a substitute for mental health treatment, psychological services, or medical care. Clients are encouraged to seek professional support for mental health concerns. If you are experiencing distress or crisis, contact a licensed professional or emergency services in your area.

We accept no liability for any decisions, actions, or outcomes resulting from your participation in coaching. You remain solely responsible for your choices.

4. Nature of the Relationship

Coaching is a joint partnership between client and coach. We are here to guide and support — not to direct, fix, or guarantee results. You agree to engage actively and respectfully throughout our engagement.

5. Payment, Cancellation & Refund Policy

  • Payment terms are outlined in your invoice.
  • Coaching engagements are non-refundable once payment has been made unless otherwise required by Australian Consumer Law.
  • Cancellations must be made with at least 48 hours’ notice. Sessions canceled with less than 48 hours may not be rescheduled.
  • Clients are responsible for booking their own sessions. While we provide reminders, continued scheduling delays may result in the closure of your coaching engagement at our discretion.

6. Client Conduct & Termination

We expect respectful, professional conduct at all times. We reserve the right to refuse, pause, or terminate services if behavior is misaligned with our values or creates a hostile, disrespectful, or unsafe environment.

7. Session Recordings & Confidentiality

All coaching sessions are recorded (via Zoom, Fathom, or similar AI tools) for the benefit of both client and coach. These recordings:

  • Are securely stored
  • Are shared with the client upon request
  • Are used for tracking progress, safety, and accountability

Recordings are treated as confidential and will never be publicly shared without written consent.

8. Intellectual Property

All materials shared through coaching, workshops, or speaking engagements (e.g. frameworks, worksheets, slide decks, reflections) are the intellectual property of The Well-Nest Collective Co.

You may not replicate, teach, resell, or distribute our materials or frameworks without explicit written permission.

9. Use in Content Creation (Anonymized)

We reserve the right to use general, anonymized reflections or themes from coaching and workshops for the purpose of creating public-facing content (e.g. blogs, podcast episodes, social media posts). No identifying details will be shared without written consent.

You may opt out of this use at any time by contacting us.

10. AI and Likeness Restrictions

You may not:

  • Use our videos, voice, likeness, coaching frameworks, or written materials to train or feed any AI model
  • Replicate, clone, or reproduce our content using artificial intelligence

Doing so without written permission is a breach of these Terms and may result in legal action.

11. Communication Boundaries

We respond to messages and requests during regular business hours (Mon–Fri, 9am–5pm AEST). Excessive messaging or inappropriate communication may result in boundary reinforcement or service termination.

12. Technology Disclaimer

We use third-party tools (e.g. Zoom, Fathom, Google Workspace, Calendly, Stripe, Webflow, ConvertKit) to deliver services. We are not liable for service disruptions, outages, or data loss caused by these providers.

13. Governing Law & Disputes

These Terms are governed by the laws of New South Wales, Australia. In the event of a dispute, we will first seek to resolve the matter through good faith dialogue or mediation before pursuing legal action.

14. Enterprise Contracts

For large-scale or enterprise engagements (e.g. school networks, education associations), terms outlined in a signed contract or proposal shall override these general Terms in the event of conflict.

15. Invoices Supersede General Terms

Specific scopes, services, and pricing detailed in your invoice or written proposal will take precedence over any general language found in these Terms.

16. Non-Disparagement

Clients agree not to make false, defamatory, or misleading public statements about The Well-Nest Collective Co, its founder, or any team members. Fair, honest reviews are welcomed through the proper channels.

17. Testimonial & Marketing Use

With your consent, we may use written or recorded feedback, testimonials, or client success stories for promotional purposes. You have full control over whether your name, school, or role is included. We will never publish identifying information without your permission.

18. Branding & Non-Affiliation

You may not use The Well-Nest Collective Co name, logo, or brand in a way that implies affiliation, endorsement, or certification without written consent.

19. Global Use & Compliance

We welcome clients from around the world. By accessing our services, international users agree to comply with these Terms and acknowledge that services are offered from Australia under Australian law. It is your responsibility to ensure our services comply with your local regulations before engaging with us.

20. Privacy & Data Use

We care about your privacy. Personal data collected through our engagements is handled according to our Privacy Policy. Clients from the EU, UK, or USA may have additional rights under local privacy laws (such as GDPR or CCPA), and we aim to honour these where applicable.

21. Restricted Use Jurisdictions

You may not access or use our services if you are located in a country subject to sanctions or export restrictions under Australian or international law. By using our services, you represent that you are not subject to any such sanctions.

22. Updates to These Terms

We may update these Terms periodically. The latest version will always be available on our website. Continued engagement implies acceptance of the latest version.
